For subscribers: San Diego plans to pull the plug on long-planned downtown Ritz-Carlton after years of delay
San Diego is poised to wrap up a long-delayed development deal, promising a Ritz Carlton hotel, homes and offices on city-owned land in the East Village.
On Friday, the city notified developer Cisterra and its partners that it intends to terminate the nearly 7-year lease because the group will miss crucial deadlines for funding and opening the $700 million project at Seventh Avenue and Market Street.

“The city is required to terminate the (development agreement), declare the property as surplus land, and issue a notice of site availability to affordable housing sponsors under the current (Excess Land Act),” Christina Bibler, head of the Economic Development department wrote in the letter.
The latest turnaround marks a major coup for a high-profile project that would not only bring San Diego its first Ritz-Carlton hotel, but also an upscale grocery store, office space and more than 200 housing units, 34 of which were intended to be accessible to low and middle income families.
San Diego-based Cisterra, which has since teamed up with two partners – Chicago-based Magellan Development Group and Denver-based GD Holdings – said on Friday it was still actively developing the project.
The development, however, has faced significant delays since it was approved in 2016, thwarted first by a lawsuit and then by the pandemic and more recent problems securing funding.
“After years of delay and the city’s best efforts to work with the developer to deliver this project, it’s clear that we are on different pages and it’s time to move forward,” San Diego Mayor Todd Gloria told Union- Tribune. “I will not let this valuable city land languish, especially while we are in the midst of a housing crisis. We have a legal and moral obligation to create housing on this valuable city-owned land, and we will move forward to make that happen.”
Cisterra director Jason Wood said of the city’s intention to terminate its contract: “Our partnership is evaluating this and we will respond as soon as we discuss it internally.”
The Magellan Development Group, which recently completed the St. Regis in Chicago joined Cisterra on March 7th and 20th. Market project in 2020, and GD Holdings, which owns several five-star hotels, became a partner last year, Wood said.
He noted that the team is now proposing to change the project’s design and uses to make it less difficult to fund. The net effect will be significantly more affordable housing.
The planned gourmet grocery store, Gelson’s Market, is out, as is the office component, to be replaced by many more apartments, condos, and affordable housing.
Specifically, the development team wants to change its plan to more than double the number of housing units, from 224 to 546, Wood said. A little over 100 of these residences would be Ritz-Carlton branded residences. In addition, the project would now include 25 percent affordable units, or 137 deed-restricted residential units for families earning 60 percent of the area’s median income, he said.
Bibler said Friday that the city has yet to send a letter formally closing the development, but that should be done soon.
California’s Excess Land Act forced the city’s hand in part.
The current version of the legislation, which took effect in 2020, requires municipal land to be leased or sold in a prescribed manner, with the ultimate goal of creating more title-restricted housing for low-income families. The law requires that at least 25 percent of proposed housing units be reserved for families earning 80 percent or less of the area’s median income.
The law’s implications are far-reaching, applying to all properties that the City of San Diego is in the process of selling or leasing. And the clock ran out on the statute’s descent clause.
This clause created wiggle room for cities and developers who signed legally binding agreements before September 30, 2019 — or December 31, 2020, for properties owned by now-disbanded redevelopment agencies, as in the case of 7th & Market design.
These parties were allowed to bypass the procedural and accessibility requirements of the revised Excess Land Act and continue to move forward under the old rules, but were given a strict closing deadline of December 31, 2022. The statute only allows for an extension if a project is being actively litigated.
And although the developer is requesting the project change in accordance with the principles of the Excess Land Law, the statute does not seem to allow the change without a new bidding process.
As such, on January 1, 2023, the 7th and The market development agreement passed the state-mandated closing deadline.
“The Excess Land Act is a critical tool for promoting housing at all income levels on publicly owned land,” David Zisser, deputy assistant director of the California Department of Housing and Community Development, told the Union-Tribune. “HCD appreciates the City’s continued efforts to comply with this important law and is pleased to continue to partner with the City to ensure it follows the required processes.”
With the deadline in the rearview mirror, the development deal apparently has no way forward other than intervention at the legislative level.
A state-level fix is not unheard of.
Last year, the City of Los Angeles was granted, through California Senate Bill 1373, a two-year extension to two ongoing development deals. However, San Diego’s relationship with Cisterra has been permanently strained by the fallout from two highly publicized leasehold transactions that have since fallen apart.
In July, while contemplating a controversial deal with the developer for the 101 Ash St. and Civic Center Plaza, board members publicly suggested that the company be barred from doing business in the city. Ill will makes legislative action unlikely, as city and state officials would essentially have to fight for Cisterra.
The 7th & The market project had a torturous history that significantly delayed the start of construction. Not long after the development was approved, a hotel union member and a coalition of community and union members contested the approval on environmental grounds. That lawsuit was later dismissed as part of a settlement, but the city granted Cisterra an extension to its schedule because of the litigation.
A similar extension was later granted because of the pandemic, but in April of last year, the city notified the developer that the formal extension of the deadline was no longer in effect and a new set of deadlines for financing and starting construction by July of this year would be in place. The city, however, encouraged the Cisterra team to close everything until December 31 of last year.
As recently as May of last year, the developer wrote in a letter to the city that it intended to meet the 2023 milestone dates well before then and hoped to “achieve a December (2022) closing date.”
The challenge of getting funding for the Cisterra project couldn’t have come at a worse time, when fears of recession and rising interest rates made access to credit significantly more difficult. But with the resumption of the development process now at hand, the city faces the challenge of developers willing to take on a large project that must also include a substantial number of affordable housing units.
As part of Cisterra’s original development deal, he was to pay the city $20 million for the land in the center of town. Now, with the city’s plans to initiate a new solicitation for development proposals, a new assessment will be required. Proceeds from the sale are to be used to develop more low- and middle-income housing.
Property analyst Gary London said he believed the city would struggle to attract interest in the location, mainly because of the demand for affordable housing.
“It’s incredibly frustrating that it took so long to develop this key block, because it’s such an important part of the East Village puzzle, Petco Park,” said London. “But if this has to go back to the criteria of the Excess Land Law, then for me this project is (dead on arrival).
“Anyone faced with this ultimatum to provide 25 percent of affordable housing is unlikely to get financed, nor is it likely to make enough profit for investors to allow it to go ahead.”
After formally rescinding the agreement, the mayor will ask the City Council to declare surplus property or exempt surplus land, likely in the coming months, Bibler said. Upon declaration, the city may proceed with a notice of availability, initiating a real estate tender for the site.
